The following terms and conditions (these “Terms”) apply to your purchase of products and services (each, a “Product”, “merchandise’) from Tarush Lifecare Pvt. Ltd. (“Company”) through this website, www.myshedays.com, (this “Website”, “web site”). Please read these Terms carefully. They contain vital information about your rights and obligations, also as limitations and exclusions which will apply to you.

By using this Website, you’re also subject to Company’s Terms of Use and Privacy Policy, and therefore the terms of any order , quotation or invoice, and of any Product purchased by or licensed to you.

1. Orders

All orders are subject to acceptance and availability, and items in your basket aren’t reserved and should be purchased by other customers.

Company offers products purchasable that are available and available for dispatch from our distribution centre. Occasionally however, we could also be expecting shipments from our staple suppliers or experiencing technical issues in our assembly line . Consequently you’ll prefer to register your email address for notification of arrival of the chosen merchandise not held in stock . If you’ve got registered your email address for notification of the arrival of a selected product featured on our website, we’ll plan to notify you by email within 48 hours of the merchandise becoming available on the website . Please remember that certain products that are in particularly high demand may sell out quickly on some occasions.

Company will store a record of your transactions for a minimum of 1 year.

Once you place an order you’ll receive a confirmation email. This email isn’t an acceptance of your order, just a confirmation that we’ve received it.

The acceptance of your order and completion of the contract between you and Company are going to be completed once we email you to verify that the products are dispatched. The sale contract is therefore concluded in India and therefore the language of the contract is English. Neither our third party payment processor nor our nominated courier has the authority to simply accept an order on behalf of Company.

We reserve the right to not accept your order within the event, for instance, that we are unable to get authorisation for payment, that shipping restrictions apply to a specific item, that the item ordered is out of stock or doesn’t satisfy our internal control standards and is withdrawn.

We can also refuse to process and thus accept a transaction for any reason or refuse service to anyone at any time at our sole discretion. We will not be susceptible to you or any third party by reason of our withdrawing any merchandise from the web site whether or not that merchandise has been sold, removing, screening or editing any materials or content on the web site , refusing to process a transaction or unwinding or suspending any transaction after processing has begun.

Whilst every effort is formed to make sure details on our website are accurate, we may from time to time discover a mistake within the pricing of products. If we discover a mistake within the pricing of a product in your order, we’ll allow you to know as soon as possible. We shall be under no obligation to simply accept or fulfil an order for a product that was advertised at an incorrect price and reserve the right to cancel such an order that has been accepted or is in transit. 2. Price and Payment Terms

Prices shown on the web site are in Indian Rupees (“INR”).

All prices and offers remain valid as advertised from time to time. The INR price of a product displayed on the web site at the time the order is accepted are going to be honoured. From time to time, prices are subject to vary in response to currency rate of exchange changes, markdowns and other commercial factors. The price applicable to your order are going to be the worth current at the time your order is accepted.

If you’re a customer whose credit/debit card isn’t denominated in INR, the ultimate price are going to be calculated in accordance with the applicable rate of exchange on the day your card issuer processes the transaction.

The total price and every other related charges for Products will be reflected in your purchase receipt. Prices offered or advertised don’t include handling or applicable taxes. You are responsible for payment of any additional costs. Company will provide confirmation of your order to the e-mail address you provided during your registration process. Company will only release the merchandise once all applicable costs, duties and taxes are paid fully.

All payment and credit terms are within Company’s sole discretion and can be specified during your purchase process. Unless otherwise specified, payment must be made fully and received by Company before Company’s acceptance of an order for Products. Advertisements on this Website are invitations to you to make offers to get products and services and aren’t offers to sell. A properly-completed order on this Website by you constitutes only your offer to get the Products in your order, even if Company has processed payment for such offer. Your order will be accepted only if and when Company sends a confirmation and/or a shipping notice email to the email address you provided during your registration or order process. If Company doesn’t accept your order in whole or partially, Company will refund any amount paid by you to Company for the order or a part of the order not accepted.

Any price offers or advertisements given by Company are going to be valid for the amount stated on the offer or advertisement, except that Company reserves the right to reject any sale for any reason, including without limitation for a misprint within the price offer or advertisement.

Unless you provide Company with a legitimate tax exemption certificate applicable to the merchandise shipping destination before acceptance of your order by Company, you’re liable for all goods and services and harmonized sales taxes, and every other taxes related to the order, except taxes on Company’s net income. Separate charges for taxes will be shown on the order invoice.

We offer multiple payment options which may be clearly advertised on the website from time to time such as UPI, Credit and Debit Cards (such as Visa, Master Card, American Express), internet banking (such as SBI, ICICI Bank, HDFC Bank, Axis Bank, Kotak Bank and Yes Bank). You confirm that the credentials you employ for creating the payment like credit/debit card are yours or that you simply are specifically authorised by the owner of the credit/debit cards to use them. All credit/debit card holders are subject to validation checks and authorisation by the cardboard issuer. If the issuer of your payment card refuses to authorise payment to Company, we’ll not be responsible for any delay or non-delivery.

3. Shipping

Company aims to dispatch your order within 24 to 48 hours after receiving your order. Once your order is dispatched, it typically takes around 2 to six working days for delivery as per your location.

All orders are scheduled to arrive on or before the expected delivery date shown within the order confirmation. Some orders may arrive before the expected delivery date if they’re ready. You will receive an email confirmation once your order ships. Company will inform you of estimated delivery dates but is not liable for any delivery delays or failure to ship by the estimated due date, including without limitation as a results of events beyond Company’s or its shippers’ reasonable control, including without limitation shortage of materials, transportation failure, or acts of God. Company may inform you of estimated delivery dates just in case there’s a delay in your delivery. An alternative shipping method could also be used when deemed appropriate to succeed in your target destination and target delivery date.

If you are did not receive your order within 10 working days, please inform us in order to resolve the issue. Please note that complaints after 10 days will not be entertained.

You will not be able to change the shipping address after your order has been processed and/or dispatched. Company won’t redirect your order once it’s been dispatched. Please make sure your shipping address is correct when you place your order.

Currently, we don’t offer international shipping. We are striving towards expanding our shipping beyond India as we continue to grow.

Company does not accept delivery of Products to a P.O. Box address.

4. Returns, Refund and Cancellation

We look after your personal hygiene and maintain high hygiene standards. We don’t accept returns or exchanges unless the merchandise delivered is broken or defective.

If you have received a damaged or defective product, please send us an email at care@myshedays.com with the details. Attach a picture of the damage. After verifying the damage, we’ll replace the merchandise in six to eight business days. Please note that replacement request for damaged goods should be sent to us within 24 hours of receiving the order.

If you placed an order by mistake or wish to cancel your order, please send an email to care@myshedays.com within 24 hours of placing the order. We will send you an email confirming the cancellation of your order in 24 to 48 business hours. Within next six to eight working days of the confirmation, the cash are going to be refunded as per the payment mode. Please note that orders that have already been shipped from our side can’t be cancelled.

5. Product Changes

Products may change or be discontinued at any time. Company will deliver Products that have similar characteristics of the Products you ordered, but minor changes between what’s delivered and what’s described online are possible. Company may ship Products with minor specifications changes, as long as there’s materially an equivalent functionality, performance and characteristics of the ordered Products. Products may differ slightly from how depicted in any illustrations, photography or descriptions on this Website. Company has made every effort to display as accurately as possible the colors of Products as they seem on this Website. However, because the actual colours you see will depend upon photographic processes and your screen, Company cannot guarantee that your screen’s display of any colour are going to be accurate.

6. Limited Warranty and Disclaimers

To the utmost extent permitted by law, company disclaims all warranties and conditions, express or implied, in respect of products, including, without limitation, implied warranties and conditions of merchantability and fitness for a particular purpose. No oral or written information, photographs, advertisements or advice given by company, its agents or employees will create a representation, warranty or condition or in any way increase the scope of provision. Company’s sole liability and responsibility for defects in product is restricted to repair and replacement as set forth during this section. Company will not be liable for lost profits, loss of business, lost data or direct, indirect, consequential, special or punitive damages, even if advised of the possibility of such damages, or for any claim by any third party. You agree that for any liability associated with the purchase or supply of products, company isn’t liable or responsible for any amount of damages above the aggregate rupee amount paid by you for the purchase or supply of the product giving rise to the liability. Some jurisdictions will not permit some of the foregoing exclusions of implied warranties or conditions or limitations. Therefore the foregoing disclaimers might not apply to you.

7. Entire Agreement

These Terms set forth the entire agreement of the parties with respect to its subject matter. These Terms might not be altered, supplemented, or amended by the utilization of the other documents. Any attempt to alter, supplement or amend this document or to enter an order for Products that are subject to additional or altered terms and conditions will be null and void. These Terms could also be changed by Company at any time, in its sole discretion without prior notice, with reference to any future sales or transactions with you.

8. Privacy

You have read Company’s Privacy Policy, the terms of which appear on this Website and are incorporated into these Terms. You agree that the terms of this policy are reasonable. You consent to the collection, use and disclosure of your personal information by Company or its agents or representatives in accordance with the terms of and for the purposes set forth in the Privacy Policy.

9. Governing Law, Disputes and Language

These Terms and therefore the material of those Terms and every related matters are going to be governed by, and construed in accordance with, the laws of India without regard to its conflict of law provisions. The parties irrevocable consent and submit to the person jurisdiction of court of Bhubaneswar, Odisha, India.

To the extent permitted by applicable law, unless Company agrees otherwise, any claim, dispute or controversy, whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future, arising out of or relating to the Products, this Website, the Terms of Use and these Terms (each, a “Claim”) will be determined by final and binding arbitration to the exclusion of the courts and can attempt to resolve it through arbitration before a Sole Arbitrator to be appointed by the corporate . The arbitration proceedings shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 and/or statutory modifications thereof. The arbitration award shall be final and binding. The venue of arbitration proceedings shall be in Bhubaneswar, Odisha, India. The language of the proceedings shall be in English. These Terms are drawn upon in English language at the express request of the parties.

10. Export Controls

The Products licensed or sold under these Terms are subject to applicable Indian export control laws with other applicable laws and regulations, and you agree you’re liable for ensuring compliance with such laws and regulations.

11. Notices

Except as explicitly stated otherwise, any notices will be given to Company by email to care@myshedays.com and to you to the email address you provide to Company during the sale or registration process. Notice is going to be deemed given twenty-four (24) hours after the e-mail is sent.

12. General

The relationship between Company and you’ll be that of independent contractors, and neither folks nor any of our respective officers, agents or employees are going to be held or construed to be partners, joint ventures, fiduciaries, employees or agents of the opposite as a results of these Terms or your use of this Website. The failure the Company to assert a right here under or to insist upon compliance with any term or condition won’t constitute a waiver of that right or excuse any subsequent non-performance of any such term or condition by you.
